VII Voting Procedures

There are two categories of Committee members. The first is a Voting member with the right to vote on all issues brought forward for decision; the second is a non-voting or Information member. This member does not vote on issues brought forward. The choice to be a Voting or Information member belongs to each member company or other organization and this choice may be altered at any time.

1. A Company may pre-register its vote for items presented at meetings of the Committee. This must be delivered in writing to the Chairperson, by the assignor, at or before any Working Group or general Committee meeting.

2a. A majority voted (51%) of Working Group Companies present or represented by pre-registered vote is required to approve Working Group decisions as required by industry's crude oil logistical procedures.

2b. A quorum of two-thirds Working Group Companies must be present or represented by pre-registered vote before any Working Group vote can take place.

3a. A vote of 75% of the Committee of the Whole, present or represented by pre-registered vote at a general (Committee of the Whole) meeting, is required to approve changes to the industry's crude oil logistical procedures or the Crude Oil Logistics Committee charter.

3b. A quorum of two-thirds Committee of the whole must be present or represented by pre-registered vote before any procedural vote can take place or vote on Committee charter.

4. A Company and its affiliates can have only one vote.

5. The Producer Association representatives (two for CAPP and one for SEPAC) each have a vote that is exclusive from the other Company votes.
